1. Introduction

Welcome to Suremarts ("we," "our," or "us"). Suremarts is an online marketplace platform that connects customers with supermarkets and grocery stores in Lagos and Ibadan, Nigeria. By accessing or using our website, mobile application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

  • "Customer" means a user who places orders through the Service.
  • "Store" or "Store Admin" means a supermarket or grocery store that lists products on the Service.
  • "Picker" means a staff member assigned to fulfill orders.
  • "Order" means a request to purchase products from a Store through the Service.
  • "Platform Fee" or "Commission" means the fee charged by Suremarts on each order.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover or suspect any security breaches
  • Be at least 18 years old to create an account

4. For Customers

4.1 Placing Orders

When you place an order through Suremarts:

  • You agree to pay the total amount specified at checkout
  • You authorize us to share your order details with the Store
  • You understand that product availability and prices may change
  • You agree to pick up your order within the specified timeframe or arrange delivery

4.2 Payment

Suremarts currently operates on a cash-on-pickup or cash-on-delivery model. You agree to pay the Store directly when picking up or receiving your order. Suremarts does not process payments between Customers and Stores at this time.

4.3 Order Cancellation

You may cancel an order if it is still in "Pending" or "Confirmed" status. Once the order status changes to "Picking" or beyond, cancellation is at the Store's discretion. We encourage you to contact the Store directly for urgent cancellations.

4.4 Pickup and Delivery

You are responsible for:

  • Picking up your order at the designated location within 24 hours of it being marked "Ready"
  • Bringing valid identification that matches the order details
  • Inspecting your order at pickup and reporting any issues immediately
  • Paying any applicable delivery fees if delivery is selected

5. For Stores

5.1 Store Responsibilities

As a Store on Suremarts, you agree to:

  • Maintain accurate and up-to-date product information, including prices and availability
  • Fulfill orders within 2 hours of order confirmation during business hours
  • Ensure product quality matches the description and images provided
  • Provide adequate staff (Pickers) to fulfill orders promptly
  • Notify customers promptly if an item is unavailable and offer substitutions
  • Accept payment from customers at pickup or delivery
  • Comply with all applicable food safety and business regulations

5.2 Commission and Fees

Stores agree to pay Suremarts a commission of 2% on the total order value (excluding delivery fees). This commission is calculated on all completed orders. Suremarts reserves the right to adjust commission rates with 30 days' notice.

5.3 Store Approval

All Stores must be approved by Suremarts before listing products. We reserve the right to reject or remove any Store that violates these Terms or our quality standards.

6. Prohibited Activities

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code, malware, or viruses
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm other users
  • Manipulate prices or engage in price gouging
  • Sell counterfeit, illegal, or prohibited items
  • Interfere with the proper functioning of the Service

7. Intellectual Property

Suremarts and its licensors own all rights, title, and interest in the Service, including all intellectual property rights. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

By uploading content (such as product images, descriptions, or logos) to the Service, you grant Suremarts a non-exclusive, royalty-free license to use, display, and distribute that content in connection with the Service.

8. Limitation of Liability

Suremarts acts as a marketplace platform connecting Customers and Stores. We are not responsible for:

  • The quality, safety, or legality of products sold by Stores
  • The accuracy of product listings or Store information
  • The ability of Stores to fulfill orders
  • Disputes between Customers and Stores
  • Losses or damages resulting from your use of the Service

To the maximum extent permitted by law, Suremarts's total liability shall not exceed the amount paid by you to Suremarts in the 12 months preceding the claim, or ₦10,000, whichever is less.

9. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Service immediately ceases
  • Any pending orders may be cancelled
  • Provisions that by their nature should survive termination shall survive

10. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
